The "M&A Strategy and Subsidiary steering" team is part of CARIAD’s Corporate Steering team and responsible for the End-2-End steering of CARIAD’s subsidiary portfolio. This includes process support for acquisitions, mergers and group-internal restructuring projects. The team drives carve-out and integration projects and defines CARIAD’s overall subsidiary and M&A strategy as well as strategies for individual subsidiaries.
- Support early-stage transaction projects by evaluation of financial models, execution of valuations or plausibility checks of business plans and implementation considerations
- Lead (internal) transaction execution by closely cooperating with the respective business owner, the Group M&A department and other involved stakeholders (e.g. HR, Legal, Accounting), incl. facilitation of due diligence processes and contractual transaction definition as well as preparation of decision proposals for (top) management
- Plan, execute and lead post-merger-integration processes (with an emphasis on cross-functional project management prior to and after day-1) by acting as coordinating interface to internal departments, group functions and external suppliers
- Derive subsidiary strategies from CARIAD corporate targets and align them with internal business owners and enabler functions as well as implementing these strategies into the subsidiaries
- Steer and coordinate the subsidiary development via Regular Business Reviews with the subsidiaries’ management teams and internal stakeholders towards defined strategic targets
- Prepare and steer shareholder meetings and support further corporate control bodies in the subsidiaries for an effective execution of the governance function.
- Successfully completed studies in business administration or a related field
- At least two years of professional experience in Subsidiary Management / M&A / strategy environment (corporate M&A, auditing company, corporate strategy / development, M&A boutique, strategy consulting)
- Sound knowledge of finance and good understanding of and interest in corporate law issues
- Relevant practical experience in the execution of M&A transactions projects (due diligence, valuation, project management) and/or post-merger integrations – experience with the (automotive) software environment are a clear plus!
- Experience in company cooperations with proven success in managing larger collaboration projects
- Confident appearance, negotiation skills and ability to manage various stakeholder interests
- Fluent in German and English – both spoken and written
