The Impact You’ll Make in this Role
As a Senior Corporate Counsel, you will join the Securities and M&A team and will interact with and support various groups across the company, with a primary focus on corporate governance, M&A and global corporate legal matters. You will report to the Vice President, Associate General Counsel M&A and Securities.
As a Senior Corporate Counsel, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world. Here, you will make an impact by:

Providing counsel on corporate governance matters, European corporate legal and ESG matters, including preparation for Board meetings, preparing, managing and implementing corporate governance and related policies and preparing, managing and implementing corporate policies

Staying up-to-date and keeping Legal team advised on external governance trends, European corporate governance and ESG regulations, general legal issues and best practices

Providing legal training to members of management and business partners

Supporting M&A transactions, including working with Corporate Development on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process and execution

Providing support on corporate and other transactions and special projects
Your Skills and Expertise
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:
In addition to the above requirements, the following are also required:

Master’s degree in law from an accredited institution

Bar admission / Qualified to practice law in the country

Proficiency in English, other languages are welcome
Work location: Remote
Travel: May include up to 20% international
Must be legally authorized to work in country of employment without sponsorship for employment visa status (e.g., H1B status).
