Lam Research’s Legal department is currently seeking an experienced attorney with experience in managing and conducting the legal review and negotiation of corporate wide transactional contracts. This individual will be based in Europe (preferably in Germany, France, Netherlands, UK or Switzerland) and will report to a Sr. Director/Corporate Counsel, and interface directly with internal and external clients. Manages legal business matters pertaining to the organization. Provides a variety of general corporate and commercial legal services to a number of in-house clients. Acts as advisor on legal issues involving the organization’s government and regulatory compliance. Reviews legal data and advises organization on appropriate legal action to be taken. Performs litigation on the company’s behalf or coordinates litigation and other legal matters handled by outside counsel. Demonstrates experience in general corporate matters, including corporate organization, securities compliance, drafting transactional documents, license agreements, employment law, immigration law, data privacy, risk management asset-backed financing, and contract management. Experience in trade secrets, advertising law, registration and other resolutions specific to the computer and technology industry as well as SEC reporting. Requires a law degree.

• Draft, review and negotiate contracts relating to various matters including equipment sales, joint developments, materials and services procurement, software licensing, subscriptions, confidentiality, data security and other common areas on a daily basis.
• Be a trusted business partner providing timely, thoughtful and helpful responses to requests from internal clients for a wide variety of corporate and commercial legal issues, including but not limited to commercial transactions; employment; intellectual property; data security; data privacy; antitrust; environmental, health and safety; and product safety.
• Monitor and communicate legal developments in the United Kingdom and Europe and follow up or escalate as applicable to ensure business has process to comply; monitor, communicate and follow up on such developments in applicable jurisdictions.
• Partner with the wider, globally located Lam Legal team, inclusive of Legal Counsels, and specialists in Intellectual Property, Governance, Foreign Trade, and Ethics & Compliance, as part of contract review and approval processes.
• Collaborate with stakeholders from business units on implementation and training to ensure compliance with respect to regional laws and regulations, contract review and approval processes.
• Counsel internal clients regarding company policies, legal issues, mitigation and risk tolerance.
• Maintain and assist in developing standardized contract templates, clause libraries, playbooks, training and internal knowledge management resources.

• Support sales offices, manufacturing facilities and research and developments centers in various locations throughout the United Kingdom and Europe

• Master’s degree in Law or J.D. or equivalent from a top law school.
• Registered to practice law in a European jurisdiction – preferably Austria or Germany - with solid knowledge of British and European commercial law and practices.
• 8-10 years of relevant work experience, including demonstrated experience reviewing and negotiating commercial contracts.
• Demonstrated understanding and strong working knowledge of common contractual issues associated with commercial agreements.
• In-house experience at publicly traded and/or high-tech multinationals/companies; including interactions with international subsidiaries or offices
• Knowledge of U.S. and international laws, especially regarding commercial contracts.
• Have excellent English and German verbal and written communication skills, so as to be able to discuss and explain complex technical and legal matters with legal and non-legal business partners/stakeholders, and create high quality documents.
• Excellent organizational, project management, and problem-solving capabilities; ability to manage multiple simultaneous demands from multiple stakeholders under time pressure, and to re-order priorities on short notice.
